Terms and Conditions

These Terms and Conditions ("Agreement") constitute a legal agreement between Shahco, located at 125,AMIR DIAMOND,HOUSE TATA ROAD NO 1 OPERA HOUSE,GIRGANON MUMBAI - 400004, and the Client engaging the Consultant for consulting services. By engaging the Consultant's services, the Client agrees to be bound by the terms and conditions outlined herein.

1. Services:

1.1 Consultant agrees to provide consulting services to the Client as outlined in the agreed-upon Scope of Work.

1.2 Any additional services requested by the Client outside the Scope of Work shall be subject to separate negotiation and agreement.

2. Payment

2.1 Client agrees to pay Consultant the fees outlined in the agreed-upon proposal or contract..

2.2 Payment shall be made according to the agreed-upon schedule, and failure to make timely payments may result in suspension or termination of services.

2.3 All fees are exclusive of any applicable taxes, which shall be the responsibility of the Client.

3. Confidentiality

3.1 Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the engagement.

3.2 Confidential information shall not be disclosed to any third party without prior written consent from the disclosing party.

4. Ownership of Work Product

4.1 Any work product, including but not limited to reports, analyses, or recommendations, produced by the Consultant during the engagement shall be the property of the Client.

4.2 Consultant retains no rights to use, distribute, or reproduce the work product for any purpose other than fulfilling obligations to the Client.

5. Termination

5.1 Either party may terminate this Agreement with written notice to the other party.

5.2 In the event of termination, the Client shall pay for all services rendered up to the termination date in accordance with the payment terms outlined herein.

6. Limitation of Liability

6.1 Consultant shall not be liable to the Client or any third party for any indirect, incidental, or consequential damages arising out of or relating to the consulting services provided under this Agreement.

6.2 Consultant's total liability under this Agreement shall not exceed the total fees paid by the Client for the services rendered.

7. Governing Law and Dispute Resolution

7.1 Any dispute arising out of or relating to this Agreement shall be resolved through good-faith negotiations between the parties. If a resolution cannot be reached, the parties agree to submit the dispute to arbitration in accordance with the rules of the American Arbitration Association

8. Entire Agreement:w

8.1 This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes all prior agreements and understandings, whether written or oral.

8.2 Any modifications to this Agreement must be made in writing and signed by both parties.
